Datum terms of service

1. Who we are

Datum is software made and sold by StratifAI Solutions Inc., a company registered in the Philippines, with its office at Unit 1702, 17th Floor, High Street South Corporate Plaza Tower 2, 11th Avenue corner 26th Street, Bonifacio Global City, Taguig, Philippines ("StratifAI", "we", "us"). When you buy or use Datum, your agreement is with StratifAI Solutions Inc. Contact: info@stratifai.solutions.

2. Accepting these terms

By buying a Datum plan, creating a Datum account or using Datum, you agree to these terms. If you use Datum for a company, you confirm that you may accept these terms for that company. If you do not agree, do not use Datum.

3. Ordering and payment

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries about payment and handles returns. Paddle's buyer terms also apply to your purchase.

Prices are in US dollars. Paddle adds sales tax, GST or VAT where it applies in your country.

4. Subscriptions, renewal and cancellation

• You choose a billing period at checkout: monthly, quarterly, half-yearly or yearly.
• Your subscription renews automatically at the end of each billing period, and Paddle charges the payment method you used, until you cancel.
• You can cancel at any time using the link in your Paddle receipt email, or by contacting us. Cancelling stops the next renewal. Your plan stays active until the end of the billing period you have paid for.
• If a subscription ends and is not renewed, Datum stops working on the end date. Datum Studio warns you before the end date if your subscription does not renew automatically.
• Team plans are priced per user, with a minimum of 5 users. The price shown at checkout is the per-user price multiplied by the number of users.
• We will tell you at least 30 days before a price change applies to your subscription. The new price applies from your next renewal after that notice.

5. Datum AI usage and top-ups

• Each plan includes a monthly Datum AI usage allowance. The allowance resets on the 1st of each month. Unused allowance does not carry over.
• When the allowance is used up, Datum AI pauses until the next month or until you buy a top-up.
• Top-ups are one-time purchases that add Datum AI usage to your account. Top-up usage is used after your monthly allowance and stays on your account until it is used or your subscription ends.
• If you connect your own AI key, the use of that key is between you and your AI provider, and it does not count toward your allowance.

6. Your licence and your account

• While your subscription is active, we give you a non-exclusive, non-transferable licence to install and use Datum for your own or your company's work.
• Each user needs their own account. Do not share an account or its sign-in.
• An account can use Datum on one computer at a time.
• You are responsible for keeping your sign-in details safe and for what is done with your account.

7. Acceptable use

You must not:

• use Datum for anything unlawful, fraudulent or misleading, or to send spam;
• copy, sell, rent, sublicense or share Datum, or remove its licence checks;
• reverse engineer or decompile Datum, except where the law allows it;
• interfere with Datum's security, probe or attack our servers, or collect data from them by automated means;
• infringe anyone's intellectual property or privacy;
• use Datum AI to create unlawful, harassing, hateful, deceptive or harmful content, to create malicious code, to reveal personal information about other people, or to get around Datum AI's safeguards.

8. Your models, files and data

• Your BIM models, IFC files and project files stay on your computers. Datum reads them on your computer.
• You own your data. You give us only the rights we need to provide Datum to you.
• When you use Datum AI, the text and files you send to it are processed to produce the answer. Datum AI does not keep a copy of them.
• You confirm that you have the right to use the files and information you put into Datum.
• How we handle personal data is described in the Datum privacy policy.

9. Datum AI suggestions

• Datum AI suggests values, mappings and explanations. It can make mistakes.
• Check its suggestions before you apply them. Your BIM model is only updated after the BIM Coordinator approves the proposed changes.
• Datum AI is not professional, legal or regulatory advice. You remain responsible for decisions made using it.
• We may limit or stop Datum AI use that breaks section 7.

10. Readiness, not approval

Datum helps you get your files ready. It does not decide whether a submission is accepted. Datum is not linked to, approved by or endorsed by any authority. You remain responsible for your submissions and deliverables.

11. Ownership of Datum

StratifAI owns Datum and all rights in it, including its software, rule sets, design and names. These terms do not transfer any of those rights to you.

12. Availability and changes to Datum

We work to keep Datum available and correct, but we do not promise that it will be uninterrupted or free of errors. We may update Datum, change its features or stop a feature, and we will tell you in advance of changes that reduce what your plan includes.

13. Suspension and termination

We may suspend or close an account if it breaks these terms in a serious way or repeatedly, if payment fails and is not fixed, or if it puts the security of Datum or other users at risk. Where we can, we will tell you first and give you a chance to fix the problem. You may stop using Datum and cancel at any time.

14. Warranties and liability

• Datum is provided as it is, to the extent the law allows.
• We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or business.
• Our total liability to you is limited to the amount you paid for Datum in the 12 months before the claim.
• Nothing in these terms limits liability that cannot be limited by law, or your rights as a consumer under the law of your country.

15. Governing law

These terms are governed by the laws of the Republic of the Philippines. This does not take away any protection you have under the consumer law of the country where you live.

16. Changes to these terms

We may update these terms. We will show the date of the latest change at the top of this page and tell subscribers by email about important changes before they apply.
